Appointment of the Supervisory Board of Budimex S.A. for the next term of office
Management Board of Budimex S.A.. announces that the Ordinary General Meeting of Budimex S.A.. on May 27, 2026. appointed the Supervisory Board for the next term of office in the following composition:
1. Mrs. Marzenna Anna Weresa
Ms. Marzenna Anna Weresa is a professor of economic sciences (the title of professor was obtained in 2014) and the director of the Institute of World Economy of the Warsaw School of Economics, a position she has held since 2005. She is a graduate of the Faculty of Foreign Trade at the Warsaw School of Economics (1988), where she also obtained a PhD (1995) and a postdoctoral degree in economic sciences (2002), and in the years 1999–2000 she completed a research fellow at SEES, University College London in London.
In academic structures, she held the position of Dean of the Collegium of World Economy of the Warsaw School of Economics in the years 2016–2020. Since 2024, she has been the Chair of the Committee of Economic Sciences of the Polish Academy of Sciences and a member of the Council of Scientific Excellence for the term of office 2024–2027. From 2018 to 2019, she chaired the Microeconomics of Competitiveness European Chapter at Harvard Business School.
Prof. Weresa has many years of experience working in supervisory bodies of large capital companies. In the years 2010–2020, she was a member of the Supervisory Board of Budimex S.A., as the Chairwoman of the Audit Committee. In the period 2008–2012 she was a member of the Supervisory Board and the Audit Committee of KGHM Polska Miedź S.A., and in 2006–2007 she was a member of the Supervisory Board of Zakłady Azotowe Puławy.
Internationally, she is a recognized expert of the European Commission, being a member of high-level groups on. economic and societal impact of research and innovation, such as ESIR3 (2024-2025), ESIR (2017-2018), RISE (2013-2015) and I4G (2012-2013). She also chaired the European Commission's expert groups on projects on counteracting foreign interference in innovation (2023-2024) and the evaluation of R+D grants (2017-2018). She has served as an expert in the TAIEX program, and also cooperates with the OECD (Working Party on Innovation and Technology Policy, 2025) and the World Intellectual Property Organization.
Her expert and project activities also include extensive cooperation with Polish institutions supporting the development of entrepreneurship, innovation and investment. As an expert of the Polish Agency for Enterprise Development, she carried out projects on monitoring the innovativeness of enterprises in the years 2022–2023 and participated in the development of strategies for building their position and competitive advantages. It also cooperates with the Polish Investment and Trade Agency, preparing expert opinions and analyses on the innovativeness of the Polish economy and foreign direct investments. In addition, she carried out implementation projects for business, such as the international project Stimulating Learning for Idea-to Market (SLIM) in 2012–2014, and also collaborated with the Future Industry Platform Foundation on a technology foresight project for the enterprise sector in 2022–2023. Her experience also includes advising the Ministry of Development under the Korea-V4 Knowledge Sharing Program in 2016–2020 and as a consultant in the Economic Department of the Ministry of Foreign Affairs. She has held expert roles at the National Centre for Research and Development, the Information Processing Centre, and since 2005 she has been cooperating with the Foundation for Polish Science and since 2000 with the Polish-American Fulbright Commission.
Her research activities also include cooperation with the world's leading institutions, such as Harvard Business School, Stanford University, University College London, Manchester Metropolitan University, Österreichisches Institut für Wirtschaftsforschung (WIFO) and the Institute for Management Development (IMD) in Lausanne. This experience is complemented by numerous guest lectures in foreign academic centers m.in. in the UK, USA, China, Thailand, Estonia.
She specializes in the economics of innovation, competitiveness of economies and enterprises, and foreign direct investments, being the author of over 150 scientific publications. She was awarded the Silver Cross of Merit in 2013 and received the Harvard Business School Award in 2017. She is a member of the Polish Economic Society and the European Economic Association.

2. Mr. Marek Michałowski
Mr. Marek Michałowski is a graduate of the Faculty of Finance and Statistics at the Warsaw School of Planning and Statistics. He has the qualifications of a statutory auditor.
He started his professional career at Budimex in 1978. Since 1990 Member of the Management Board of Budimex S.A.. and Director of Finance. economic and financial. From April to November 1998, President of the Management Board of Dromex S.A.. Since November 1998. until September 2009. CEO, President of the Management Board of Budimex S.A.. Since October 2009. Chairman of the Supervisory Board of Budimex S.A.. Since October 2009. to August 2010. CEO of Ferrovial Agroman S.A. to Central and Eastern Europe. In the years 2001-2013, he was the President of the Council, and then the President of the Management Board of the Polish Association of Construction Employers. Member of the Main Board of BCC. In the years 2010-2022, the President of the Polish Golf Association, since 2023 the Honorary President of the Polish Golf Association. Since 2021, he has been the President of the Polish Sports Bridge Association.

3. Mr. Jacek Socha

From 2005 to 2020, he was Vice-President of PwC in Poland. Since joining the company, he has advised many Polish companies as well as foreign companies.
As Minister of the State Treasury in the years 2004-2005 in the government of Marek Belka, he carried out a number of privatization transactions through the Warsaw Stock Exchange, including one of the largest IPOs in Poland – PKO BP.
From 1991 to 2004, the Securities and Exchange Commission. As the Chairman of the Securities and Exchange Commission in the years 1994-2004, he participated in the process of creating regulations of the Polish capital market, as well as regulations adapting Polish law to the regulations of the European Union. He also participated in the admission process of many companies currently listed on the WSE.

Mr. Jacek Socha is a co-author of the first Corporate Governance principles adopted by the Warsaw Stock Exchange in 2002.
He served as the vice-president of the Polish Golf Association.
He is currently the vice-president of the Polish Sports Bridge Association

Mr. Juan Ignacio Gaston Najarro holds a Civil Engineer degree with an MBA from London Business School. Associated with the Ferrovial Group since 1995. Since 2007. He served as the director of the. Construction in the UK. Since 2013. served as CEO of Ferrovial Servicios S.A. In November 2018. was appointed CEO of Ferrovial Agroman.

5. Ms. Danuta Dąbrowska
Ms. Danuta Dąbrowska graduated from the Faculty of Food Technology at the University of Food Industry in Budapest. Since 2000. is a member of the Association of Chartered Chartered Accountants (ACCA). She is a graduate of advanced management programs in strategic management, strategic finance and high performance leadership at IMD in Switzerland and the "Best In Retail" program at Harvard Business School.
Ms. Danuta Dąbrowska has thirty-five years of professional experience in the financial, commercial and telecommunications sectors, and has been performing management and supervisory functions for over twenty years. She has built her career in international companies, and over the last thirteen years she has focused her professional activity on performing supervisory functions in large listed companies. From 2024. she is a member of the Supervisory Board of the. Kruk S.A., and from 26.02.2026. she is a member of the Supervisory Board of mBank, where she sits on the Audit Committee and the Risk Committee. Since 2014. until 25.02.2026. she was a member of the Supervisory Board of Santander Bank Polska S.A., sitting on the Audit Committee, the Nomination Committee and the Remuneration Committee. She was also a member of the supervisory boards of Herkules S.A., Vistula Retail Group S.A., where she also served as a member of the Audit Committee, and of the Audit Committee of the Polish Council of Shopping Centres.
As a member of the management boards of Pandora Jewelry CEE Sp. z o.o., Panmeas Jewellery LLC i ECCO Europe East & Middle East Sp. z o.o., responded m.in. for managing the financial areas, building operational structures, financial strategy and business development in the subordinate regions of Central and Eastern Europe and the Middle East, for Panmeas Jewellery LCC also in Africa. At TP Internet (France Telecom Group) and Ericsson, she held directorial positions, responsible for the finance and business control departments. She began her professional career in the auditing firms Arthur Andersen (currently Ernst & Young Polska) and Coopers & Lybrand (currently PwC Audyt Polska).

He currently serves as Chief Operating Officer / Chief Operating Officer. important projects in Ferrovial Construction.
He has been associated with the Ferrovial Group for 36 years. He held the following positions:

- from 2012 to 2019, Managing Director for Construction for Spain, France, Slovakia, Portugal and Latin America;
