Information on transactions obtained pursuant to Article 19 of MAR
The Management Board of Budimex S.A. with its registered office in Warsaw (the "Company") hereby informs that it has received notifications of transactions ("Notifications") which have been submitted by the following persons discharging managerial responsibilities in the Company in accordance with Article 19(1) of Regulation (EU) No. 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (market abuse regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives2003/124/EC, 2003/125/EC and 2004/72/EC:
1. Artur Popko – President of the Management Board, General Director of the Company;
2. Marcin Węgłowski – Member of the Management Board, Director of the Financial Division;
3. Jacek Daniewski – Member of the Management Board, Director of the Legal and Organizational Division;
4. Anna Karyś-Sosińska – Member of the Management Board, Director of the Human Resources Management Division;
5. Cezary Łysenko – Member of the Management Board, Operational Director of Infrastructure and General Construction;
6. Maciej Olek – Member of the Management Board, Operational Director of Railway, Power and Industrial Construction.
The notifications relate to the conclusion by the above-mentioned persons of agreements to participate in the long-term incentive program for the years 2025-2027, which was established in the Company by Resolution No. 530 of the Ordinary General Meeting of the Company of May 29, 2025. The participation agreements grant a conditional right to acquire the Company's shares, subject to the fulfilment of certain conditions, in particular the achievement of specific financial and non-financial objectives. The final number of the Company's shares to which the above-mentionedwill depend in particular on the level of achievement of the above-mentioned objectives.
