Information on transactions obtained pursuant to Article 19 of the MAR
The Management Board of Budimex S.A. with its registered office in Warsaw (the "Company") hereby informs that it has received notifications on transactions ("Notifications") submitted by the following persons discharging managerial responsibilities in the Company in accordance with Article 19(1) of Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (Market Abuse Regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives2003/124/EC, 2003/125/EC and 2004/72/EC:
1. Jakub Długoszek – Director of Infrastructure Construction;
2. Dariusz Bac – Director of Railway and Power Construction;
3. Jaime Rontome Perez – Director of the Production Support Directorate.
The notifications relate to the conclusion by the above-mentioned persons of participation agreements in the long-term incentive program for the years 2025-2027, which was established in the Company by resolution no. 530 of the Ordinary General Meeting of the Company of 29 May 2025. The participation agreements grant a conditional right to purchase the Company's shares, subject to the fulfilment of certain conditions, in particular the achievement of specific financial and non-financial objectives. The final number of shares of the Company to which the above-mentioned shares will be entitled to purchase.person, will depend in particular on the level of achievement of the above-mentioned objectives.
